By accessing or using the Sites, and, where applicable, by selecting "Submit," "Create Account," "Continue," "I Agree," or a similar button or checkbox presented with these Terms, you acknowledge that you have read, understand and agree to these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use the Sites. Our Privacy Policy constitutes part of these Terms and is hereby incorporated by reference. Hunt reserves the right, at our discretion, to change these Terms and/or our Privacy Policy by posting revised terms or policies. Unless a later effective date is stated, revised Terms will become effective when posted; provided that, where Hunt determines that a change is material and you have a registered account or other direct relationship with Hunt through the Sites, Hunt may provide additional notice or seek renewed assent as appropriate. Any access to or use of the Sites after the effective date constitutes your acceptance of the revised Terms. Hunt may retain prior versions and acceptance records for legal, audit, security and enforcement purposes. We suggest that you review these Terms periodically for changes.
Hunt will not treat users of the Sites as its partners, clients, customers, borrowers, lenders, brokers, fiduciaries, advisory clients, fund investors, prospective investors or investors by virtue of their accessing or using the Sites. Site content about a particular Hunt affiliate, fund, investment vehicle, property, infrastructure project, service line, transaction or opportunity is provided by or about the identified entity only and does not create obligations, guarantees, agency, partnership, fiduciary, advisory, client, customer, investor, borrower, lender, broker or other relationship with any Hunt entity absent a separate written agreement signed by the applicable Hunt entity. Nothing contained in these Terms is intended to modify any other written agreement you may have with Hunt, if any, that may be currently in effect. In the event of any inconsistency between these Terms and any other written agreements with Hunt, the terms of the other written agreements will govern. Some pages within the Sites contain supplemental terms and conditions and additional disclosures and disclaimers, which are in addition to these Terms. In the event of a conflict, such supplemental terms and conditions and additional disclosures and disclaimers will govern for those sections or pages.
When we refer to "you" or "your" we mean the person accessing the Sites. If the person accessing the Sites acts on behalf of, or for the purposes of, another person, including a business or other organization, "you" or "your" also means that other person, including a business or organization.
The Sites are intended for a general audience and are not directed to children under the age of 13. By accessing or using the Sites, you represent that you are at least 18 years of age, or the age of majority in your jurisdiction of residence, and that you have the legal capacity to agree to these Terms on your own behalf or on behalf of the person or organization you represent. Hunt does not knowingly collect personal information from children under 13 in a manner inconsistent with the Children’s Online Privacy Protection Act, 15 U.S.C. §§ 6501–6506, and its implementing regulations, 16 C.F.R. Part 312. If you believe a child under 13 has provided personal information to Hunt through the Sites, please contact us through the “Contact Us” section of the Sites so that we may investigate and take appropriate action, including deletion of that information.
You agree that electronic communications, notices, disclosures, acknowledgments and records relating to the Sites may satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law. For interactive features, forms, registrations, portals, downloads, subscriptions, cookie preferences or other Site functions, Hunt may request or record your affirmative assent to these Terms, the Privacy Policy and any supplemental terms. Hunt may maintain records of the version presented, date and time, device or browser information, IP address, account or contact identifier, and interface or workflow associated with such assent.
The Sites may use cookies, pixels, tags, analytics tools, SDKs, local storage and similar technologies, including chat, session-replay, call-recording or other interaction-monitoring technologies, as described in the Privacy Policy and any cookie or preference notices presented on the Sites. Where required by law or where Hunt has implemented an opt-in consent process, non-essential technologies will be used in accordance with the choices you make through the applicable consent tool. Browser settings and platform controls may also affect how certain technologies operate. These Terms do not replace or override any separate privacy notice, cookie notice, consent preference or legal right you may have under applicable privacy laws.
THE SITES AND ALL INFORMATION AND MATERIALS CONTAINED THEREIN ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND (EITHER EXPRESS OR IMPLIED). HUNT MAKES NO WARRANTY THAT THE SITES WILL BE UNINTERRUPTED, RELIABLE, ERROR-FREE, VIRUS-FREE, MALWARE-FREE, CURRENT, ACCURATE OR COMPLETE, OR WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS. If you violate any part of these Terms, your permission to access or use the Sites and content of the Sites automatically terminates and you must immediately destroy any copies of such content in your possession or control. We reserve the right, in our sole discretion and without notice to you, to terminate or suspend your user account and your license to use the Sites and prevent your future access to and use of the Sites.
Hunt respects the intellectual property rights of others. Unless otherwise specified, the materials in or accessible through the Sites are directed at residents of the United States, its territories, possessions, and protectorates. The Sites are controlled and operated by Hunt from its offices within the State of New York, United States of America. Neither Hunt nor any of its affiliates make any representation that materials in or accessible through the Sites are appropriate or available for use in other locations or that access to them where their content is located is not illegal and prohibited. You represent and warrant that any User Submissions and Feedback you submit to us are either your original content or that you have obtained all necessary rights and permissions to authorize Hunt's use as set forth in these Terms.
Access to certain parts of the Sites may require a login. You agree that you will submit complete and accurate registration information as requested by the Sites' registration forms and maintain the accuracy of this information by promptly updating your registration information with any changes. These Terms shall be incorporated into, and form an integral part of, any registration form submitted by you. If you have a user name, password or Personal Identification Number (PIN) for access to non-public areas of the Sites, you are solely responsible for all activities that occur in connection with your login credentials. Accordingly, you should take steps to protect the confidentiality of your login credentials. You agree that you will notify Hunt immediately if you become aware of any disclosure, loss, theft or unauthorized use of your login credentials. If you disclose or otherwise allow discovery of your login credentials to or by any person(s) or entity, you assume all risks and losses associated with such disclosure. Hunt is not responsible or liable for any liability, damages, loss or expenses arising in any way from the use of your login credentials.
Hunt does not review or monitor any websites, applications, platforms, services, embedded content, widgets, maps, video players, social media plugins, analytics tools, advertising technologies or other third-party features linked from, linked to, displayed on or integrated with the Sites and is not responsible for the content, availability, security, privacy practices, terms, products or services of any such third parties. If you decide to access or interact with third-party websites, services or features, you do so at your sole risk and subject to any applicable third-party terms and privacy notices. Neither Hunt nor any of its affiliates are responsible for the information, materials, products, services or data practices obtained on or from such third parties, nor will any of them be liable in any respect whatsoever for any damages arising from your access to or interaction with such third parties. THESE TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK, WITHOUT REGARD TO CONFLICT-OF-LAWS RULES, EXCEPT THAT THE FEDERAL ARBITRATION ACT SHALL GOVERN THE INTERPRETATION AND ENFORCEMENT OF THE ARBITRATION AGREEMENT BELOW. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND HUNT AGREE THAT ANY DISPUTE, CLAIM OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE PRIVACY POLICY, THE SITES, SITE CONTENT, USER SUBMISSIONS, FEEDBACK, OR ANY PRODUCTS, SERVICES, COMMUNICATIONS OR RELATIONSHIP INVOLVING THE SITES WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, RATHER THAN IN COURT, EXCEPT THAT either party may bring an individual action in small claims court if the claim qualifies and either party may seek temporary or preliminary injunctive relief in court to protect intellectual property, confidential information, security, privacy, data, systems, or unauthorized access pending arbitration. The Federal Arbitration Act governs this agreement to arbitrate. Before initiating arbitration, the party asserting a dispute must provide written notice describing the dispute and requested relief and allow the other party thirty (30) days to attempt to resolve the dispute informally. Notice to Hunt must be sent through the “Contact Us” section of the Sites or to such other address as Hunt may designate on the Sites. If the dispute is not resolved, arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable, except as modified by these Terms. The arbitrator shall have exclusive authority to resolve disputes regarding the interpretation, applicability, enforceability or formation of this arbitration agreement, including any claim that all or part of it is void or voidable, except that a court shall decide any dispute concerning the validity, enforceability or scope of the class, collective, consolidated, representative or private-attorney-general action waiver below. YOU AND HUNT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER OR REPRESENTATIVE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, PRIVATE-ATTORNEY-GENERAL OR MASS ACTION, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party's individual claim. If any portion of this arbitration agreement or waiver is found unenforceable as to a particular claim or request for relief, that claim or request for relief shall proceed in court only after all arbitrable claims are completed, unless applicable law requires otherwise. Judgment on the arbitration award may be entered in any court having jurisdiction. For non-arbitrable disputes, the forum provision above applies.
Opt-Out of Arbitration. You may opt out of this arbitration agreement, including the class, collective and representative action waiver above, by sending written notice of your decision to opt out to Hunt through the “Contact Us” section of the Sites within thirty (30) days after the date you first become subject to this arbitration agreement. Your opt-out notice must include your name and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor Hunt will be required to arbitrate disputes as set forth above, but all other provisions of these Terms, including the Governing Law and Consent to Jurisdiction section above, will continue to apply to you.
Mass Filings. If twenty-five (25) or more similar claims asserted by the same or coordinated counsel are filed against Hunt in arbitration within a short period of time (a “Mass Filing”), the arbitration provider’s mass arbitration or batch procedures, including the American Arbitration Association’s Mass Arbitration Supplementary Rules or successor rules, if applicable, shall govern the administration, sequencing, staging and fees associated with such claims to the fullest extent permitted by applicable law. The parties agree that resolving Mass Filings through bellwether or batch proceedings, rather than requiring simultaneous individual proceedings, is consistent with the efficient and orderly administration of justice.
If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. These Terms, together with the Privacy Policy and other posted policies on the Sites, together represent the entire agreement between Hunt, on the one hand, and you, on the other, relating to the subject matter hereof. We may assign the Sites and our rights and duties under these Terms, the Privacy Policy, and other posted policies in connection with any reorganization, change of control or asset sale in our sole discretion. No course of conduct or trade practice will be deemed to modify these Terms in any respect.
